Terms of Service

Please read these Terms of Service (the "Terms") and our Privacy Policy (the "Privacy Policy") carefully because they govern your use of the website located at https://humanintelligence.com (the "Site") operated by Profile Technologies, Inc. dba Human Intelligence ("Human Intelligence," "we," "us," or "our"). To make these Terms easier to read, the Site and any services offered via the Site are collectively called the "Services."
1. Agreement to Terms
By using our Services, you agree to be bound by these Terms. If you don't agree, do not use the Services. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" and "your" will refer to that entity.
2. Relationship to the Platform Agreement
Access to and use of the Human Intelligence platform (including any account, API, or Model Context Protocol (MCP) access, and the processing of any customer or workforce data) is governed by the Master Services Agreement (MSA), the applicable Order Form, and the Data Processing Addendum (DPA) entered into between Human Intelligence and the customer, not by these Terms. In the event of a conflict between these Terms and a customer's MSA with respect to platform use, the MSA controls. These Terms govern general use of the public Site.
3. Privacy
Our Privacy Policy describes how we collect, use, and share personal information in connection with the Services. Personal data we process on behalf of customers within the platform ("Customer Data") is governed by the DPA, not the Privacy Policy or these Terms.
4. Changes to These Terms or the Services
We may update these Terms from time to time in our sole discretion. If we do, we will post the updated Terms on the Site and update the "last updated" date, and may provide additional notice. Your continued use of the Services after updated Terms take effect means you accept the changes. Because our Services evolve, we may change or discontinue all or part of the Services at any time, with or without notice, to the extent permitted by law.
5. Eligibility
The Services are not directed to, and may not be used by, anyone under 18. By using the Services, you represent that you are at least 18 years old.
6. Feedback
We welcome feedback, comments, and suggestions for improvements ("Feedback"). You grant us a non-exclusive, royalty-free, worldwide, perpetual license to use Feedback you submit through the Site without restriction or compensation. This Site-level Feedback license is separate from any feedback terms in a customer's MSA, which govern feedback about the platform.
7. Acceptable Use and Enforcement
You agree not to:
- use, display, mirror, or frame the Services, our name, trademarks, logos, or the layout and design of the Site, without our express written consent;
- access, tamper with, or use non-public areas of the Services or our systems, or the technical delivery systems of our providers;
- probe, scan, or test the vulnerability of any system or network, or breach or circumvent any security or authentication measures;
- avoid, bypass, remove, deactivate, impair, or otherwise circumvent any technological measure we or our providers use to protect the Services;
- access or search the Services, or scrape or download content, using any automated means (including bots, crawlers, spiders, or data-mining tools) other than generally available web browsers or search agents we permit;
- send unsolicited or unauthorized advertising, spam, or other solicitations;
- use meta tags or hidden text using our marks or product names without consent;
- use the Services for any commercial purpose or the benefit of a third party except as permitted by these Terms or a separate agreement with us;
- forge headers or otherwise send altered, deceptive, or false source-identifying information;
- decipher, decompile, disassemble, or reverse engineer any software used to provide the Services, except as permitted by applicable law;
- interfere with, or attempt to interfere with, any user, host, or network, including by sending malware, overloading, flooding, or spamming the Services;
- collect or store personal information about other users without their express permission;
- impersonate or misrepresent your affiliation with any person or entity;
- violate any applicable law or regulation; or
- encourage or enable any third party to do any of the foregoing.
We are not obligated to monitor the Services but may do so to operate them, ensure compliance with these Terms, and comply with law. We may investigate and cooperate with authorities regarding suspected violations.
8. Intellectual Property; Reservation of Rights
We and our licensors exclusively own all right, title, and interest in and to the Services, including all associated intellectual property rights, and the Services are protected by U.S. and foreign laws. Except for the limited right to access and use the public Site under these Terms, no rights are granted to you. You agree not to remove, alter, or obscure any proprietary notices. Rights to the platform, Documentation, and related technology are addressed in the MSA.
9. Third-Party Websites and Resources
The Services may link to third-party websites or resources that we do not control. We provide access as a convenience and are not responsible for their content, products, or services. You assume all risk arising from your use of any third-party resources.
10. Termination
We may suspend or terminate your access to the Services at our sole discretion, at any time, with or without notice. Upon termination, Sections 6–14 survive. (Suspension or termination of a customer's platform access is governed by the MSA.)
11. Warranty Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE AVAILABLE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR REGARDING THE ACCURACY, TIMELINESS, OR RELIABILITY OF ANY INFORMATION ON THE SERVICES. This Section does not limit any warranties or service levels expressly provided to customers in an MSA.
12. Indemnity
You will indemnify and hold harmless Human Intelligence and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with (a) your access to or use of the Services or (b) your violation of these Terms.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER HUMAN INTELLIGENCE NOR ITS SERVICE PROVIDERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUES, SAVINGS, BUSINESS OPPORTUNITY, DATA, OR GOODWILL, SERVICE INTERRUPTION, OR SYSTEM FAILURE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES, UNDER ANY LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). These limitations do not apply to a customer's platform use, which is subject to the limitation-of-liability provisions of the MSA.
14. Dispute Resolution; Governing Law
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@humanintelligence.com. If not resolved within 30 days, either party may proceed as below.
Binding arbitration. Except for claims for injunctive or equitable relief or claims regarding intellectual property, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its applicable rules, before a single arbitrator, seated in Delaware, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. Disputes will be resolved only on an individual basis. You and Human Intelligence waive any right to bring or participate in a class, consolidated, or representative action.
Courts. For any matter not subject to arbitration, the state and federal courts located in Delaware will have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.
15. General Terms
- Entire agreement. These Terms are the entire agreement between you and us regarding the Site and supersede prior understandings regarding the Site. Platform use is governed by the MSA/Order Form/DPA.
- Severability. If any provision is unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in effect.
- Assignment. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. Any attempted assignment in violation is void.
- Notices. We may provide notices by email or by posting to the Services; email notices are deemed received when transmitted.
- Waiver. Our failure to enforce any right or provision is not a waiver. Waivers are effective only if in writing and signed by our authorized representative.
